These Terms of Use (“Terms”) govern your access to and use of websites, webstore pages, educational materials, event information, digital resources, forms, tools, and related services operated by Quarkmine LLC (“Quarkmine,” “Student Robotics League,” “SRL,” “we,” “our,” or “us”).

These Terms apply to Quarkmine programs and services, including the Student Robotics League (“SRL”), and to websites including quarkmine.com, studentroboticsleague.com, related subdomains, and any other online services operated by Quarkmine.

By accessing or using our websites, webstore, programs, resources, or services, you agree to these Terms. If you do not agree, do not use our websites, webstore, programs, resources, or services.

1. Related Policies

These Terms should be read together with our Privacy Policy, Youth Protection Policy, event rules, safety rules, robot rules, registration terms, webstore policies, and any other written guidelines or policies provided by Quarkmine or SRL.

If there is a conflict between these Terms and specific event, registration, product, or program terms, the more specific terms may control for that specific situation.

2. Changes to These Terms

We may update these Terms from time to time by posting a revised version on our website. Changes are effective when posted unless otherwise stated.

Your continued use of our websites, webstore, programs, resources, or services after changes are posted means you accept the updated Terms.

3. Website and Resource Use

Quarkmine grants you a limited, non-exclusive, non-transferable, revocable license to access and use our websites and publicly available resources for lawful personal, educational, organizational, or program-related purposes.

You may not:

  • Use our websites, resources, or services for unlawful purposes
  • Interfere with or disrupt website security or operation
  • Attempt to gain unauthorized access to protected systems, accounts, portals, or data
  • Copy, scrape, reproduce, or redistribute website content except as expressly permitted
  • Misrepresent your identity or affiliation with Quarkmine or SRL
  • Use our websites, resources, or services in a way that harms Quarkmine, SRL, participants, schools, teams, coaches, or other users

4. Accounts, Portals, and Adult Access

Certain areas, including coach portals, registration systems, account areas, webstore accounts, downloads, or protected resources, may require account access.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Protected systems and official communication channels are intended for coaches, teachers, parents, guardians, school representatives, organization representatives, and other authorized adults unless Quarkmine expressly states otherwise.

Access credentials must not be shared with students, minors, unauthorized users, or third parties.

5. Youth Participation

SRL is designed for students and youth participants, but Quarkmine generally works through adult representatives, schools, organizations, coaches, parents, and guardians.

Schools, organizations, teams, coaches, parents, and guardians are responsible for obtaining any required permissions, approvals, consents, releases, supervision, and safety clearances for student participation.

Adults involved in Quarkmine or SRL programs are responsible for complying with applicable school, district, organization, youth protection, safety, and supervision requirements.

6. Safety and Program Rules

SRL involves robotics, tools, batteries, moving parts, competitive arenas, and other activities that may involve risk if handled improperly.

All participants, coaches, teams, schools, organizations, parents, guardians, and spectators must follow applicable Quarkmine and SRL safety rules, event instructions, robot rules, arena rules, staff directions, and venue requirements.

Quarkmine may deny participation, remove a participant, disqualify a robot, stop an activity, cancel a match, restrict access, or take other action when Quarkmine determines that safety, fairness, event integrity, or program standards require it.

Participation in Quarkmine or SRL programs is voluntary and requires appropriate adult supervision.

7. Educational and Informational Content

Our websites and resources may include educational, technical, robotics, design, manufacturing, business, marketing, safety, and program-related content.

This content is provided for general informational and educational purposes only. It may not be complete, current, or appropriate for every situation, school, organization, robot, tool, material, venue, or participant.

You are responsible for using judgment, following applicable instructions, complying with safety requirements, and seeking qualified assistance where appropriate.

Quarkmine does not guarantee that any educational or technical content will produce a specific result, robot performance, competition outcome, business outcome, academic result, or safety outcome.

8. AI and Automated Tools

Some Quarkmine or SRL websites may include AI-powered chat, support, search, or informational tools.

AI-generated responses may be incomplete, inaccurate, outdated, or inappropriate for a specific situation. AI tools do not replace official Quarkmine policies, SRL rules, safety requirements, professional judgment, adult supervision, or direct guidance from authorized Quarkmine representatives.

Users should not submit sensitive personal information, confidential student records, passwords, financial information, medical information, or other sensitive data into AI or automated tools.

9. Webstore, Orders, and Payments

Quarkmine may sell or provide products, kits, parts, educational materials, registrations, digital downloads, services, or other items through a webstore or ordering system.

Product descriptions, prices, availability, shipping estimates, and related information may change without notice.

We may refuse, cancel, limit, or modify orders where we determine there is an error, suspected fraud, misuse, supply issue, safety concern, eligibility issue, or other reasonable business reason.

Payments may be processed through third-party payment processors. Quarkmine does not control third-party payment systems and is not responsible for their independent acts, omissions, policies, or service interruptions.

10. Shipping, Delivery, and Risk of Loss

Shipping and delivery times are estimates only and are not guaranteed unless expressly stated in writing.

Quarkmine is not responsible for delays caused by carriers, customs, weather, incorrect addresses, supply shortages, force majeure events, or circumstances outside our reasonable control.

Risk of loss may transfer to the customer when an order is delivered to the shipping carrier, unless applicable law or specific written terms require otherwise.

11. Returns, Refunds, and Cancellations

All sales of SRL robots, robot kits, robot parts, components, electronics, batteries, tools, arenas, arena parts, combat robotics components, replacement parts, consumable items, custom items, opened items, used items, and any other product intended for combat robotics use are final and non-refundable.

This strict no-refund policy applies because combat robotics products may be damaged, altered, worn, modified, used in destructive environments, affected by assembly choices, or rendered unsafe through improper handling after delivery.

Unless otherwise stated in writing, Quarkmine does not offer refunds for digital products, registrations, event fees, downloadable materials, completed services, custom orders, opened products, used products, SRL products, robot components, or combat robotics-related products.

Quarkmine may, at its sole discretion, offer replacements, credits, exchanges, missing-part support, or limited exceptions where appropriate, including for verified shipping errors or defective items reported within a reasonable time after delivery. Any such exception does not create a general refund right or waive this policy.

12. Product and Program Changes

Quarkmine may update, modify, discontinue, replace, or revise products, kits, parts, rules, resources, programs, events, formats, schedules, and services at any time.

We may make substitutions or adjustments when necessary due to safety, availability, manufacturing changes, supply chain issues, program improvements, or other operational reasons.

13. Intellectual Property

All content on our websites and in our resources, including text, logos, names, designs, graphics, videos, photographs, documents, downloads, rules, educational materials, product designs, trade dress, and other materials, is owned by Quarkmine or licensed to Quarkmine unless otherwise stated.

Quarkmine, Student Robotics League, SRL, related logos, program names, product names, slogans, designs, and brand elements may not be copied, modified, used, displayed, or distributed without prior written permission from Quarkmine except as allowed by applicable law or written program guidelines.

Schools, teams, coaches, and organizations may use Quarkmine or SRL materials only as expressly permitted for participation, education, promotion of authorized participation, or other approved program-related purposes.

All other trademarks, logos, product names, company names, or brand names appearing on our websites or materials are the property of their respective owners.

14. User Submissions and Feedback

If you submit ideas, feedback, suggestions, testimonials, photos, videos, messages, robot names, team names, or other content to Quarkmine, you represent that you have the right to submit that content.

You grant Quarkmine a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, distribute, adapt, and create derivative works from submitted content for program, educational, promotional, operational, archival, and marketing purposes, subject to applicable law and our Privacy Policy.

You agree not to submit content that is unlawful, infringing, defamatory, harassing, abusive, obscene, unsafe, deceptive, or otherwise inappropriate.

15. Event Media

Quarkmine and SRL events, competitions, demonstrations, and activities may be photographed, recorded, livestreamed, or otherwise documented.

By attending or participating in an event, you understand that you, your team, your robot, your organization, your name, your likeness, your voice, or your submitted content may appear in event-related media, unless otherwise restricted by written agreement or applicable law.

Schools, organizations, teams, coaches, parents, and guardians are responsible for obtaining any media permissions or releases required for their participants.

16. Third-Party Links and Services

Our websites, webstore, resources, or communications may link to or integrate with third-party websites, platforms, payment processors, shipping providers, video platforms, social media services, analytics tools, or other services.

Quarkmine is not responsible for third-party websites, services, content, policies, security, availability, or practices.

17. No Professional Advice

Quarkmine content is provided for general educational and informational purposes only.

Nothing on our websites, in our resources, or through our services should be understood as legal, medical, financial, tax, engineering certification, professional safety, or other professional advice.

You are responsible for consulting qualified professionals where appropriate.

18. Disclaimers

Our websites, webstore, programs, resources, products, and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

Quarkmine disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

Quarkmine does not warrant that our websites, webstore, resources, products, programs, or services will be error-free, secure, uninterrupted, current, complete, or suitable for every user, school, organization, event, venue, robot, tool, material, or purpose.

19. Limitation of Liability

To the fullest extent permitted by law, Quarkmine and its owners, employees, contractors, representatives, partners, affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of our websites, webstore, programs, resources, products, events, or services.

To the fullest extent permitted by law, Quarkmine’s total liability for any claim related to a transaction, product, registration, event, service, or use of our websites will not exceed the amount paid by you to Quarkmine for the specific transaction giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Quarkmine and its owners, employees, contractors, representatives, partners, affiliates, suppliers, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your use of our websites, webstore, programs, resources, products, events, or services
  • Your violation of these Terms or related policies
  • Your violation of applicable law
  • Your submitted content
  • Your misuse of products, tools, robots, batteries, arenas, materials, or equipment
  • Your failure to obtain required permissions, consents, supervision, or releases

21. Event and Program Decisions

Quarkmine reserves the right to interpret and enforce SRL rules, safety requirements, event procedures, participation standards, and program requirements.

Quarkmine may make final decisions regarding eligibility, scoring, judging, participation, disqualification, safety, schedule changes, event operation, and program administration.

22. Termination or Restriction of Access

We may suspend, restrict, or terminate access to websites, accounts, portals, resources, programs, events, or services if we believe a user has violated these Terms, misused our services, created a safety concern, violated program rules, infringed intellectual property, or acted in a way that harms Quarkmine, SRL, participants, schools, teams, coaches, customers, or other users.

23. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles, unless applicable law requires otherwise.

Any legal action or proceeding related to these Terms or your use of our websites, webstore, programs, products, or services will be brought in the state or federal courts located in Michigan, unless applicable law requires otherwise.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy and any applicable written program, contract, event, webstore, registration, or service terms, form the agreement between you and Quarkmine regarding your use of our websites, webstore, programs, resources, products, and services.
